CS Agent by Alwaison
These Terms of Service ("Terms") are a binding agreement between you and Alwaison, Inc. ("Alwaison," "we," "us," or "our"), a Delaware corporation. They govern your access to and use of CS Agent, the AI-powered assistant for Customer Success Managers available at cs-agent.app (the "Service").
By creating an account, clicking "I agree" during sign-up, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms reference our Privacy Policy, which is incorporated by reference.
You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organization or employer, you represent that you have the authority to agree to these Terms on their behalf and to connect work-related accounts (such as a work Gmail address or a company CRM) to the Service.
You may not use the Service if you are barred from doing so under applicable law, or if your account has been previously suspended or terminated by us.
Registration. You create an account by signing up with an email address and password through our authentication provider Clerk. You are responsible for the accuracy of the information you provide.
Security. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately at hello@alwaison.com if you suspect unauthorized access.
One account per person. You may not share your account with anyone else. Each user of the Service needs their own account.
CS Agent is an AI-powered assistant that helps Customer Success Managers by combining signals from connected tools — such as Google Workspace (Gmail, Calendar, Drive), HubSpot, and Gainsight — to produce:
CS Agent does not act on your behalf without your approval. Every outbound action — sending an email, logging a note, creating a task, updating a deal — is presented to you as a draft for explicit review before it is executed.

The Service integrates with third-party services including Google, HubSpot, Gainsight, Stripe, and others. To use these integrations, you must have an account with the third-party service and grant CS Agent permission to access your data there through OAuth or a similar mechanism.
You are bound by the terms of those third-party services. Alwaison is not responsible for the availability, accuracy, or conduct of third-party services. If a third-party service changes its API, pricing, or terms in a way that affects CS Agent, we will do our best to adapt, but we cannot guarantee continuous or unchanged functionality of integrations we do not control.
You can revoke access granted to CS Agent at any time through the third-party service's own settings (for example, at myaccount.google.com/permissions for Google). Revoking access may impair features that depend on that integration.
You agree not to use the Service to:
Violations of this section may result in immediate suspension or termination of your account.
Ownership. You retain all rights in the data and content you provide to the Service or that the Service accesses on your behalf from third-party integrations ("Your Data").
License to us. You grant Alwaison a limited, non-exclusive, worldwide license to access, store, process, and display Your Data solely to operate, maintain, and improve the Service for you. This license ends when you delete Your Data or cancel your subscription, subject to the retention rules described in our Privacy Policy.

Pricing. The Service is offered on a subscription basis at $39 per user per month, unless otherwise stated at the time you sign up. Pricing may change; we will give you at least 30 days' notice before any price change affects your subscription.
Free trial. New accounts receive a 14-day free trial. The trial does not require a credit card. At the end of the trial, you will be prompted to add a payment method to continue accessing paid features. If you choose not to add payment, your subscription will not auto-convert and your access to paid features will be paused.
Billing. Payment is processed by our payment processor Stripe. By subscribing, you authorize Stripe to charge the payment method on file for all fees due. Subscriptions renew automatically each billing cycle until canceled.
Renewal notices. We will send you an email reminder before each subscription renewal so you have an opportunity to review or cancel.
Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. We do not offer prorated refunds for unused portions of a billing cycle.
Non-payment. If we cannot collect payment, we may suspend your access to paid features after notifying you. Continued non-payment may result in account termination.
Taxes. All fees are exclusive of applicable taxes, which you are responsible for paying.
Alwaison's IP. The Service, including all software, designs, text, graphics, and other content (other than Your Data), is owned by Alwaison or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription, subject to these Terms.
Feedback. If you send us ideas, feedback, or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation to you. We appreciate feedback and do our best to incorporate it, but we are not obligated to.
Trademarks. "Alwaison" and "CS Agent" and related logos are trademarks of Alwaison, Inc. You may not use them without our prior written permission.
Your use of the Service is subject to our Privacy Policy, which describes what data we collect, how we use it, and how we store and protect it. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
In the course of using the Service, you may be exposed to non-public information about Alwaison (such as product roadmaps discussed in support conversations) and we may be exposed to non-public information about you and your business (such as customer account data). Each party agrees to protect the other's confidential information using the same degree of care it uses for its own confidential information, and to use it only in connection with the Service.
Confidentiality obligations do not apply to information that is (a) publicly available through no fault of the receiving party, (b) already known to the receiving party without confidentiality restriction, (c) independently developed without use of the other party's confidential information, or (d) required to be disclosed by law (with reasonable notice to the other party where legally permitted).
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, Alwaison disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information produced by the Service will be accurate or reliable. The Service uses artificial intelligence to generate drafts, alerts, and answers. These outputs may contain errors, omissions, or inaccuracies. You are responsible for reviewing and approving any action the Service proposes before it is taken.
Alwaison is not responsible for the conduct, accuracy, or availability of third-party services integrated with CS Agent.
To the fullest extent permitted by law:
Excluded damages. In no event will Alwaison be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to the Service, regardless of the theory of liability and even if Alwaison has been advised of the possibility of such damages.
Cap. In no event will Alwaison's total aggregate liability to you for all claims arising out of or related to the Service exceed the greater of (a) the total fees you paid to Alwaison in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Alwaison and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, (c) Your Data or your use of connected third-party services, or (d) your willful misconduct or gross negligence.
By you. You may terminate your account at any time by canceling your subscription and requesting deletion of Your Data through your account settings or by emailing hello@alwaison.com.
By us. We may suspend or terminate your access to the Service at any time, with or without notice, for any material breach of these Terms or for conduct that creates a risk to the Service or other users. In most cases we will attempt to notify you first and give you an opportunity to cure.
Effect of termination. On termination, your right to use the Service ends and we will delete or return Your Data in accordance with our Privacy Policy's retention rules. Sections that by their nature should survive termination (including Sections 7 through 14 and Sections 16 through 19) will survive.
Service changes. We improve CS Agent continually and may add, change, or remove features. We will try to give you reasonable notice of material changes, but we do not guarantee that any particular feature will remain available.
Terms changes. We may update these Terms from time to time. If changes are material, we will notify you by email to the address on your account and post the revised Terms at cs-agent.app/terms with a new "Last updated" date. Your continued use of the Service after changes become effective means you accept the revised Terms. If you do not agree, you may cancel your subscription.
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
Informal resolution first. Before bringing a formal dispute, you agree to contact us at hello@alwaison.com with a description of the issue and give us 30 days to attempt to resolve it.
Forum. If informal resolution fails, any lawsuit or legal proceeding arising out of these Terms or the Service must be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Entire agreement. These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Alwaison regarding the Service and supersede any prior agreements on the same subject.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets, on notice to you.
Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control, including natural disasters, labor disputes, internet or infrastructure failures, governmental actions, or acts of war.
Notices. We may send notices to the email address on your account or by posting in the Service. You may send notices to us at hello@alwaison.com.
Relationship of parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Alwaison.
